PairMint Terms of Use

Effective Date: October 12, 2025

These Terms of Use ("Terms") govern your access to and use of PairMint’s website, mobile applications, APIs, and other services ("Services"). By accessing or using the Services you accept and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Acceptance of Terms

By accessing or using PairMint, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and able to form legally binding contracts. You agree to provide accurate, current, and complete information and to cooperate with any Know-Your-Customer (KYC) and Anti-Money Laundering (AML) checks we require.

3. Accounts, Credentials & Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use or suspected breach. We are not responsible for losses caused by account misuse.

Service communications: By using the Services, you consent to receive necessary account, security, verification (including OTP), and transaction/status messages by email, SMS, and in-app/push. Marketing messages are optional and subject to your preferences; see our Privacy Policy for opt-out methods (including SMS STOP/HELP and email unsubscribe).

4. Services & Matching

PairMint operates a matching service that connects offer makers and takers for fiat currency exchange across supported regions. We facilitate introductions and confirmations; settlement is handled via our regulated service providers and banking partners. We do not hold custody of client funds beyond the period required to process a transaction with our partners.

5. Fees & Billing

Fees for services (if any) are displayed at the time of trade or posted in our pricing documentation. We may change fees at our discretion; material changes will be communicated in advance.

6. Prohibited Uses

You must not use the Services for any illegal purpose, to evade sanctions, or to facilitate fraud, money laundering, terrorist financing, or other illicit activities. You agree to comply with all applicable laws and regulations when using the Services.

7. Intellectual Property

All content, trademarks, logos, and software provided through the Services are our property or licensed to us. You may not reproduce, distribute, or create derivative works without express permission.

8. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRMINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT WILL PAIRMINT’S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO PAIRMINT IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

9. Governing Law & Dispute Resolution

Governing law and dispute resolution may vary by your region; U.S. users agree to Delaware law and consent to the jurisdiction of relevant courts, subject to applicable arbitration agreements where provided. For Nigeria users, arbitration may be conducted in Lagos, Nigeria as specified in applicable sections.

10. Termination

We may suspend or terminate your account for violation of these Terms or applicable law. You may close your account by following the steps in your account settings or contacting support.

11. Changes to These Terms

We may modify these Terms from time to time. Material changes will be provided with notice (e.g., email or in-app) prior to taking effect. Continued use of the Services after changes constitute acceptance of the revised Terms.

• Impersonate others or provide false information or documentation.

• Interfere with security measures, abuse APIs, or attempt to reverse engineer the Services.

• Upload viruses, malware, or harmful code.

9) Risk Disclosure

You understand and accept that:

• Rates are volatile and may change before settlement.

• Counterparty risk exists in P2P arrangements.

• Delays or failures may occur due to liquidity mismatches, third‑party outages, compliance reviews, or banking schedules.

PairMint works to mitigate risks but cannot eliminate them.

10) Intellectual Property

All content and materials on the Services (including software, logos, design, text, and graphics) are owned by PairMint or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

11) User Content & Feedback

If you submit content, feedback, or suggestions, you grant PairMint a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and create derivative works from such submissions for operating and improving the Services, without obligation to you.

12) Third‑Party Services & Links

The Services may reference or integrate third‑party services. PairMint is not responsible for third‑party content, products, policies, or practices. Your use of third‑party services is governed by their terms and policies.

13) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. PAIRMINT DOES NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION OR ACCURACY OF INFORMATION.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) PAIRMINT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) PAIRMINT’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO PAIRMINT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15) Indemnification

You agree to indemnify and hold harmless PairMint, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or violation of any law or third‑party rights.

16) Suspension & Termination

PairMint may suspend or terminate your access to the Services at any time, with or without notice, for breach of these Terms, suspected unlawful activity, platform misuse, or compliance reasons. Upon termination, your right to use the Services ceases immediately, but sections that by their nature should survive (e.g., fees owed, IP, disclaimers, limitations of liability, indemnities, dispute resolution) will survive.

17) Changes to the Services or Terms

We may modify the Services or these Terms from time to time. Material changes to the Terms will be notified via email or in‑app at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

18) Electronic Communications & E‑Signatures

By using the Services, you consent to receive communications electronically, and you agree that electronic signatures and records have the same legal effect as paper versions.

19) Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution. Before filing a claim, you agree to email [email protected] and attempt to resolve the dispute informally within 30 days.

Binding Arbitration (U.S. Users). If unresolved, disputes will be settled by binding arbitration in Delaware, USA, administered by a recognized arbitral forum, with one arbitrator, in English. No class actions or class arbitration. Either party may bring a qualifying claim in small claims court. Parties may seek injunctive relief in a court of competent jurisdiction for IP or security issues.

Arbitration (Nigeria Users). For users located in Nigeria, unresolved disputes will be settled by binding arbitration in Lagos, Nigeria, in English, under applicable Nigerian arbitration rules. No class actions or class arbitration. Small claims and injunctive relief carve‑outs apply as above.

20) Governing Law

These Terms are governed by the laws of the State of Delaware, USA, and, where applicable to Nigerian users, the laws of Nigeria, without regard to conflict‑of‑laws principles.

21) Export & Sanctions Compliance

You represent that you are not located in, organized under the laws of, or ordinarily resident in any embargoed or restricted jurisdiction, and are not a restricted party under applicable sanctions laws. You will not use the Services in violation of export control or sanctions laws.

22) Assignment

You may not assign or transfer these Terms without PairMint’s prior written consent. PairMint may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

23) Severability; Waiver

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver.

24) Entire Agreement

These Terms constitute the entire agreement between you and PairMint regarding the Services and supersede all prior or contemporaneous agreements on the same subject.
